Agreement to Terms​

By accessing or using the SquadUp mobile application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Important Disclaimers​

Product Boundary​

SquadUp supports productivity, reflection, and momentum. It is not medical, mental health, legal, or professional advice.

SquadUp is designed to support productivity, habit-building, reflection, and personal organization. It does not provide medical care, mental health treatment, crisis response, diagnosis, therapy, legal advice, or professional services.

If you are in crisis or need urgent help, contact local emergency services or a qualified professional.

Automated Coaching Features​

SquadUp includes SkunkCoach™, a behavioral support system that delivers guidance based on your in-app activity. You acknowledge and agree that:

  • SkunkCoach™ suggestions may be inaccurate, incomplete, or not applicable to your situation
  • SkunkCoach™ does not know your complete personal context
  • SkunkCoach™ guidance is not a substitute for professional advice
  • You should exercise independent judgment before acting on any suggestion
  • We do not guarantee the accuracy, completeness, or usefulness of any coaching output

No Outcome Guarantees​

SquadUp does not guarantee:

  • Specific results from using the Service
  • Achievement of any goals or objectives
  • Improvement in productivity, habits, or well-being
  • Any particular outcome from using any feature

Your results depend on many factors including your effort, circumstances, and choices.

Service Description​

SquadUp is a supportive productivity application that provides:

  • Task and checklist management
  • Habit tracking and accountability
  • Focus Timer and attention support tools
  • Journaling and reflection tools
  • Calendar and scheduling features
  • Behavioral coaching support (SkunkCoach™)
  • Behavioral frameworks based on Skunkology™ methodology and Mavaro Systems Behavioral OS™

The Service is provided by Mavaro Systems LLC, a Delaware limited liability company.

Subscription Tiers​

Free Tier​

  • Basic task and habit features
  • Limited journal entries
  • Standard support
  • Access to core features

Pro Tier​

  • Enhanced features beyond Free tier
  • Additional customization options
  • Priority support access
  • Full feature access

Subscription Terms​

  • Subscriptions may be available through our platform and/or platform providers
  • Billing and payment terms vary by platform and release
  • You can cancel through your account settings or platform-specific controls
  • If you cancel, your access generally continues through the end of the current billing period unless platform rules or applicable law require otherwise
  • Price changes will be communicated in advance where applicable
  • Except where required by law or platform policy, subscription charges are generally non-refundable once a billing period begins
  • If you purchased through Apple or Google, refund requests are generally handled under their platform policies

Intellectual Property​

Ownership​

All content, features, and functionality of SquadUp are owned by Mavaro Systems LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks​

The following are protected trademarks or branded terms of Mavaro Systems LLC:

  • SquadUp - Main product name
  • Skunkology™ - Behavioral framework methodology
  • SkunkCoach™ - Behavioral coaching system
  • Momentum Loop™ - Micro-progress system
  • Focus Pulse™ - Energy-based time management
  • Clarity Compass™ - Purpose-aligned prioritization
  • Rebound Mode™ - Resilient recovery system
  • Mind Sweep™ - Cognitive decluttering framework
  • Reflection Loop™ - Self-learning feedback cycle
  • Stink-Free Flow™ - Flow state methodology

Limited License​

We grant you a limited, non-exclusive, non-transferable license to use SquadUp for its intended purpose: personal productivity and development. This license does not include:

  • Copying or modifying any part of the Service
  • Reverse engineering or extracting source code
  • Using trademarks without written permission
  • Distributing, sublicensing, or commercial use

Restrictions​

You may NOT:

  • Copy, modify, or create derivative works
  • Reverse engineer or attempt to extract source code
  • Use our trademarks without written permission
  • Use the Service for any unlawful purpose
  • Attempt to bypass security measures
  • Interfere with the Service's proper operation
  • Use the Service in a way that harms us or others

User Content​

Your Content​

You retain ownership of content you create within SquadUp ("User Content"). By posting or submitting User Content, you:

  • Grant us a license to use, store, process, and display your content to provide the Service
  • Confirm you have the right to share such content
  • Acknowledge that other users may see content you choose to share (e.g., in Squads)

Content You Share​

When you share content with others (e.g., in shared Squads), that content may be viewed by those users. Do not share content you wish to keep private.

Content You Submit​

If you submit feedback, suggestions, or bug reports, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and distribute such content for any purpose without compensation.

Account Responsibilities​

Account Security​

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized use

Account Requirements​

  • You must be at least 13 years old
  • You must provide accurate information
  • You must comply with these Terms
  • You must not share your account

Service Availability​

Availability​

We strive to maintain high availability but do not guarantee:

  • Uninterrupted access to the Service
  • Error-free operation
  • Availability at all times

The Service may be temporarily unavailable due to:

  • Planned maintenance
  • Technical difficulties
  • Circumstances beyond our control
  • Force majeure events

Modifications​

We reserve the right to:

  • Modify or discontinue any feature at any time
  • Change pricing with notice
  • Add or remove tiers
  • Update functionality

Beta Features and Experimental Functions​

Some features may be labeled as Beta, Experimental, or Preview. These features:

  • Are provided "as is" without warranties
  • May change or be removed without notice
  • May not work as expected
  • Are not guaranteed to be available

Disclaimers​

As-Is Basis​

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

No Warranties​

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • QUIET ENJOYMENT
  • ACCURACY
  • UNINTERRUPTED SERVICE
  • ERROR-FREE SERVICE

Limitation of Liability​

Liability Cap​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED.

For paid subscribers: Liability is capped at the amount you paid in the twelve (12) months preceding the claim.

For free users: Liability is limited to $10 USD.

Excluded Damages​

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES FROM UNAUTHORIZED ACCESS OR USE
  • BUGS, VIRUSES, OR OTHER HARMFUL MATERIALS
  • CONTENT OR CONDUCT OF THIRD PARTIES

Basis of the Bargain​

You acknowledge that this limitation of liability reflects the allocation of risk between parties and forms an essential basis of the bargain between us.

Indemnification​

You agree to indemnify, defend, and hold harmless Mavaro Systems LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another
  • Your conduct that could harm us or others

Termination​

Termination by You​

You may stop using the Service at any time. You may delete your account through the app settings.

Termination by Us​

We may terminate or suspend your access to the Service immediately, without notice or liability, for any reason, including:

  • Breach of these Terms
  • Violation of law
  • Fraud or abuse
  • Non-payment (for paid tiers)
  • Account inactivity (extended period)

Effect of Termination​

Upon termination:

  • Your right to use the Service ends
  • Your license to use the Service terminates
  • We may delete your account and content (subject to legal retention requirements)

Survival​

The following provisions survive termination:

  • Intellectual Property
  • Disclaimers
  • Limitation of Liability
  • Indemnification
  • Governing Law

Governing Law​

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute not subject to arbitration may be brought only in courts located in Delaware, unless applicable law requires otherwise.

Dispute Resolution​

Informal Resolution​

Before filing an arbitration or court action, you agree to attempt to resolve disputes informally by contacting legal@mavarosystems.com.

Arbitration​

If informal resolution fails, disputes will be resolved through binding arbitration in Delaware, except where applicable law allows a different forum or where either party seeks qualifying small-claims relief.

Class Action Waiver​

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

Changes to Terms​

We may modify these Terms at any time. If changes are material, we will:

  • Post updated Terms in the app
  • Update the "Last Updated" date
  • Provide notice of material changes

Your continued use after changes constitutes acceptance of the updated Terms.

Severability​

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Entire Agreement​

These Terms constitute the entire agreement between you and Mavaro Systems LLC regarding the Service and supersede all prior agreements.

Apple App Store Requirements​

If you downloaded SquadUp from the Apple App Store:

  • Any subscription terms are between you and Mavaro Systems LLC, not Apple
  • Apple has no responsibility for the Service
  • In-app purchases are subject to platform billing terms
  • Refund requests for App Store purchases may be handled by Apple under Apple policy and applicable law
